Odin Solar (Odin Energy LLC) Terms of Service Agreement
Please read this agreement carefully before using our website or services.

1. Introduction
These Terms of Service ("Agreement") govern your access to and use of the Odin Solar website ("Website") and all related services ("Services"). By accessing or using the Website or Services, you agree to be bound by this Agreement. If you disagree with any part of this Agreement, you may not access or use the Website or Services.

2. Definitions

Customer: You, the individual or entity using the Website or Services.

Equipment: Solar panels, inverters, mounting systems, and other related equipment used in a solar energy system.

Installation: The process of installing Equipment on the Customer's property.

Permits: Permits and licenses required by local, state, and federal authorities for the installation of solar energy systems.

Project: The design, procurement, installation, and commissioning of a solar energy system for the Customer.

Subcontractor: A third-party entity engaged by Odin Solar to perform part of the Project.

3. Use of Website and Services

You are granted a non-exclusive, non-transferable license to access and use the Website and Services for your personal, non-commercial use.

You may not use the Website or Services for any unlawful purpose or in violation of this Agreement.

You are responsible for protecting your login credentials and any activity that occurs under your account.

You agree not to engage in any conduct that interferes with the operation of the Website or Services or the enjoyment of these by others.

4. Project Proposal and Acceptance

Odin Solar will provide the Customer with a written proposal outlining the scope of the Project, including equipment specifications, estimated costs, and installation timelines upon request.

The Customer must accept the proposal by signing it and returning it to Odin Solar.

Once accepted, the proposal becomes a binding contract between Odin Solar and the Customer.

5. Permits and Approvals

Odin Solar is responsible for obtaining all necessary Permits for the Project.

The Customer is responsible for cooperating with Odin Solar in the permit application process.

The Customer acknowledges that the issuance of Permits may be subject to delays beyond Odin Solar's control.

6. Subcontractors
-
Odin Solar reserves the right to use Subcontractors to perform part of the Project.

Odin Solar is responsible for the performance of its Subcontractors and any warranty work related to their work.

7. Payments and Financing

The Customer is responsible for making all payments due to Odin Solar under the terms of the agreement.

Odin Solar may offer financing options to the Customer.

The Customer is responsible for reviewing and complying with the terms of any financing agreement.

8. Warranties and Guarantees

Odin Solar will assist in ensuring the Equipment will be free from defects in materials and workmanship for a period of 25 years. All equipment not of Odin Solar's is warrantied by the manufacturer, not the installer. We have the right to charge for removal and installation of another manufacturer's equipment in the case of failure.

Odin Solar warrants that the Installation will comply with applicable building codes and industry standards.

Odin Solar may offer additional performance guarantees for the solar energy system.

The Customer is responsible for performing routine maintenance on the Equipment.

9. Liability and Indemnification

Odin Solar is not liable for any indirect, incidental, consequential, or punitive damages arising from or related to the Project.

The Customer agrees to indemnify and hold harmless Odin Solar from and against any claims, losses, or liabilities arising out of or related to the Project.

10. Force Majeure

Odin Solar shall not be liable for any delay or failure to perform its obligations under this Agreement due to causes beyond its reasonable control, including acts of God, war, terrorism, strikes, and natural disasters, or similar uncontrollable events.

11. Termination

This Agreement may be terminated by either party upon written notice to the other.

Odin Solar may terminate this Agreement immediately if the Customer breaches any material provision of this Agreement.

12. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of [insert your state].

Dispute Resolution: Any dispute arising out of or relating to this Agreement shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Pierce County, Wisconsin, or, if mutually agreed upon, within 60 miles of Hudson, Wisconsin. The decision of the arbitrator shall be final and binding on the parties.

13. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written. Additional terms or revisions of these terms may be provided in your contract. That contract supersedes these terms when in conflict.

14. Amendments

This Agreement may be amended by Odin Solar at any time by posting the amended terms on the Website. You are responsible for reviewing the amended terms regularly. Your continued use of the Website or Services following the posting of amended terms constitutes your acceptance of such amendments.

15. Severability
If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

16. Notice
All notices and other communications hereunder shall be in writing and shall be deemed to have been duly given when delivered in person, sent by certified or registered mail, return receipt requested, postage prepaid, or sent by overnight courier, addressed as follows:

17. Waiver
No waiver of any breach of any provision of this Agreement shall constitute a waiver of any other provision or of any subsequent breach.

18. Headings
The headings in this Agreement are for convenience only and shall not be deemed to define, limit, or construe the content of any section or provision.
